These Terms of Service ("Terms") govern your use of Rapid Discount LLC's ("Company," "we," "us," or "our") website, services, and products. By accessing and using our services, you agree to be bound by these Terms. If you do not agree to comply with these Terms, you may not use our services.
1. Acceptance of Terms
By registering for, accessing, or using Rapid Discount LLC services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These Terms apply to all users, including but not limited to independent truckers, fleet owners, and any other parties accessing our platform.
2. Services Description
Rapid Discount LLC provides truck dispatching services, including freight negotiation, load assignment, paperwork management, and 24/7 support to independent truckers and small fleet owners. Our services facilitate connections between carriers and freight opportunities, but we do not directly engage in transportation.
3. User Eligibility
To use our services, you must:
- Be at least 18 years of age
- Have a valid commercial driver's license (CDL) or own/operate a legitimate trucking business
- Possess appropriate business licenses and insurance as required by federal and state laws
- Have the legal authority to enter into this agreement
- Not be prohibited from receiving services under U.S. law
4. Account Registration
When you register for our services, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Provide truthful and accurate information during registration
- Maintain the security of your login credentials
- Immediately notify us of any unauthorized account access
- Accept responsibility for all activities conducted through your account
5. Dispatch Services and Fees
Rapid Discount LLC provides dispatching services for a service fee, which varies based on your service tier. Fees are:
- Single Truck: 6% of load earnings
- Small Fleet (2-5 trucks): 4% of load earnings
- Large Fleet (6+ trucks): Custom pricing based on volume
Fees are deducted from your settlement upon completion of each load. By accepting loads through our platform, you authorize automatic fee deduction from your earnings.
6. User Conduct and Prohibited Activities
You agree not to use our services for any unlawful or unauthorized purpose. Prohibited conduct includes but is not limited to:
- Violating any applicable federal, state, or local law
- Fraudulent activity, misrepresentation, or deception
- Refusing to comply with Hours of Service (HOS) regulations
- Operating a vehicle without proper licensing and insurance
- Harassing or abusing our staff or other users
- Attempting to hack, breach, or circumvent our platform security
- Transmitting malware or harmful code
- Impersonating another user or entity
- Reselling or distributing our services to third parties without authorization
7. Load Acceptance and Responsibilities
You are responsible for:
- Verifying load details before accepting assignments
- Ensuring your vehicle meets load requirements
- Maintaining proper insurance and licensing
- Complying with all DOT and FMCSA regulations
- Communicating delays or issues promptly to our dispatch team
- Delivering loads safely and on time
- Providing documentation and receipts as required
8. Payment Terms
Rapid Discount LLC negotiates and secures freight on your behalf. Payment is made by the freight provider directly to your designated account, minus our service fee. We:
- Process and track all load payments
- Deduct service fees from your settlement
- Provide detailed payment statements and invoices
- Maintain transparent accounting of all transactions
Payment timelines depend on the freight provider and may vary from 1-30 days. Rapid Discount LLC is not responsible for delays caused by freight providers or shipper issues.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RAPID DISCOUNT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claim arising from or relating to these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim. Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability, so the above limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless Rapid Discount LLC and its officers, directors, employees, and agents from any claim, demand, loss, liability, or damage (including reasonable attorneys' fees) arising from: (a) your use of our services, (b) your breach of these Terms, (c) your violation of any applicable law, or (d) your violation of third-party rights.
11. Dispute Resolution and Arbitration
Any dispute arising from these Terms or your use of our services shall be resolved through binding arbitration, except for claims involving intellectual property rights or breach of confidentiality.
Both parties agree to:
- Attempt good faith negotiation to resolve disputes
- Submit to binding arbitration if negotiation fails
- Waive the right to a jury trial and class action participation
- Arbitration shall be conducted in Maryland under JAMS rules
12. Termination of Services
Rapid Discount LLC may terminate or suspend your account and services at any time without notice if you:
- Violate any provision of these Terms
- Engage in fraud, illegal activity, or misconduct
- Fail to pay service fees
- Violate DOT or FMCSA regulations
- Cease to meet eligibility requirements
You may terminate your account at any time by contacting our support team at (888) 982-0320. Upon termination, you remain responsible for any outstanding fees or obligations.
13. Intellectual Property
All content, features, and functionality of our website and services (including text, graphics, logos, software, and code) are the exclusive property of Rapid Discount LLC or our licensors. You may not reproduce, distribute, modify, or transmit any content without our prior written permission.
14. Third-Party Links and Services
Our website may contain links to third-party websites and services. Rapid Discount LLC is not responsible for the content, accuracy, policies, or practices of third-party sites. Your use of third-party services is governed by their own terms and conditions.
15. Warranty Disclaimer
OUR SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. RAPID DISCOUNT LLC MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
16. Modifications to Terms
Rapid Discount LLC reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after modifications constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically for updates.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the federal and state courts located in Maryland.
